1. PROJECT OVERVIEW
This App Development Services Agreement (“Agreement”) is entered into between Menni Apps LLC (“Developer”) and the Client identified above. Menni Apps LLC agrees to provide professional app development, design, and related digital services for the project described below.

3. PROJECT TIMELINE
Estimated Start Date: Confirmed after deposit
Estimated Completion Date: Based on approved project scope
Project timelines may be adjusted if additional features are requested or required information is delayed by the Client.
4. PROJECT PRICE
Total Project Price: Listed in final quote
30% Deposit: Due before work begins
40% Mid-Project Payment: Due at agreed milestone
30% Final Payment: Due before final delivery
Development will begin only after the required deposit has been received.
5. CLIENT RESPONSIBILITIES
The Client agrees to provide logos, branding, text, images, and requested content; respond promptly to approvals and project updates; make payments according to this Agreement; and provide access to required third-party accounts or services when necessary.
6. PROJECT CHANGES
Any additional work requested outside the original project scope may require a revised quote and written approval before work begins.
7. OWNERSHIP
Upon receipt of final payment, the Client will own the completed application, final production files, and custom designs created specifically for this project. Menni Apps LLC retains ownership of internal development tools, reusable code libraries, templates, and proprietary processes unless otherwise agreed in writing.
8. CONFIDENTIALITY
Both parties agree to keep confidential all non-public business information, project details, passwords, designs, and proprietary information shared throughout the project.
9. WARRANTY
Menni Apps LLC will correct development-related bugs reported within 30 days after final delivery at no additional charge. This warranty does not include new features, third-party software issues, or changes made by anyone other than Menni Apps LLC.
10. TERMINATION
Either party may terminate this Agreement by providing written notice. If the Client cancels after development has started, payments already made are non-refundable, and the Client is responsible for payment for all work completed up to the cancellation date.
11. LIMITATION OF LIABILITY
Menni Apps LLC shall not be liable for indirect, incidental, special, or consequential damages arising from the use of the completed application.
12. GOVERNING LAW
This Agreement shall be governed by the laws of the State of Florida, unless otherwise required by a written project addendum.
ACCEPTANCE OF AGREEMENT
By signing below, both parties acknowledge that they have read, understood, and agree to the terms and conditions of this Agreement.
